Perlyn-IT reserves the right to decline any project enquiry at its discretion without providing reasons.

4. Project Engagement and Payment Terms

Where a service engagement is agreed between Perlyn-IT and a client, the following general terms apply unless otherwise specified in the project agreement:

• Commencement: Project work commences upon receipt of the agreed deposit payment and written confirmation of project scope.
• Payment schedule: Payment milestones and due dates are set out in the individual project agreement. Standard engagements typically require a deposit before commencement, milestone payments during delivery, and a final payment upon project completion.
• Overdue payments: Perlyn-IT reserves the right to pause or withhold delivery of work pending receipt of any overdue payments. Project timelines will be adjusted accordingly.
• Cancellation: If a client chooses to cancel an engagement after commencement, fees for work completed to that point are payable. Deposit payments are non-refundable unless otherwise stated in the project agreement.

5. Intellectual Property

All intellectual property rights in deliverables produced by Perlyn-IT for a client are retained by Perlyn-IT until full payment for the engagement has been received. Upon receipt of full and final payment, ownership of the agreed deliverables transfers to the client, except as specified below.

The following are expressly excluded from IP transfer and remain the property of Perlyn-IT at all times:

• Proprietary frameworks, templates, tools, and development systems used in the delivery of the project.
• Internal processes, methodologies, and know-how applied during the engagement.
• Any third-party licensed components incorporated into deliverables, which remain subject to their original licences.

All content on this website - including text, graphics, design elements, code, and branding - is the property of Perlyn-IT and may not be reproduced, distributed, or used without prior written consent.

6. Client Responsibilities

The successful delivery of any Perlyn-IT project depends on timely input and cooperation from the client. The client agrees to:

• Provide all required content, assets, access credentials, and approvals within agreed timeframes.
• Designate a responsible point of contact with authority to provide instructions and approvals on behalf of the client organisation.
• Review and provide feedback on deliverables within agreed review periods.
• Ensure that any content, materials, or third-party assets provided to Perlyn-IT do not infringe any intellectual property rights or applicable law.

Delays caused by late client input or approvals may result in timeline extensions. Perlyn-IT accepts no liability for project delays attributable to client-side delays.

7. Confidentiality

Both parties agree to treat as confidential any non-public information disclosed by the other party in the course of a service engagement. This includes business information, strategies, client data, technical systems, and any other information reasonably understood to be confidential.

Confidential information must not be disclosed to third parties without prior written consent, except where required by law or by a court or regulatory authority of competent jurisdiction.

These confidentiality obligations survive the conclusion of any service engagement and continue for a period of three (3) years from the date the engagement ends.

8. Limitation of Liability

Perlyn-IT's liability to any client or website user arising from or in connection with the use of this website or the delivery of services shall, to the maximum extent permitted by applicable law, be limited to the total fees paid by that client to Perlyn-IT under the relevant engagement in the twelve (12) months preceding the claim.

Perlyn-IT shall not be liable for any indirect, incidental, consequential, or punitive loss or damage, including but not limited to loss of profits, loss of data, loss of business opportunity, or reputational damage, even if advised of the possibility of such loss.

Nothing in these Terms limits liability for death, personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable law.

9. Warranties and Disclaimers

This website is provided on an "as is" basis. While we take reasonable care to ensure the accuracy of information published on this website, Perlyn-IT makes no representations or warranties, express or implied, that the content is accurate, complete, or current.

10. Governing Law and Dispute Resolution

Any dispute arising under or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If a dispute cannot be resolved by negotiation within thirty (30) days of written notice, it shall be submitted to the jurisdiction of the courts of Sri Lanka.

Perlyn-IT reserves the right to amend these Terms at any time. Updated Terms will be published on this page with a revised "Last updated" date. Your continued use of this website or any ongoing service engagement following the publication of updated Terms constitutes acceptance of the changes.

For active client engagements, material changes to agreed commercial or project terms will only take effect with the written agreement of both parties.
